Terms and Conditions
1. Acceptance of Terms
By creating an account or using Sagedesk's services, you agree to be bound by these Terms of Service (ToS). If you do not agree, you must not use the site or services.
2. Modification of Terms
Sagedesk may update these ToS at any time. Material changes will be communicated via email or in‑app notifications. Continued use after modification constitutes acceptance.
3. User Accounts
Account Creation:
Requires a valid email (or Google OAuth) and password.
Security:
You are responsible for maintaining the confidentiality of your credentials and for all activities under your account.
4. Permitted Use
You may use Sagedesk to upload study materials, create "Spaces"/"Modules," and interact with the AI chat feature.
You must comply with all applicable laws, including intellectual property laws and anti‑abuse provisions.
5. User‑Generated Content
Ownership:
You retain ownership of materials you upload. You grant Sagedesk a worldwide, royalty‑free license to store, reproduce, and process your materials solely to provide the service.
Prohibited Content:
No unlawful, infringing, or harmful content. Sagedesk reserves the right to remove disallowed content.
6. AI Interactions & Disclaimers
AI‑generated responses are based on your inputs and external AI models (e.g., OpenAI, OpenRouter).
Accuracy:
Sagedesk does not guarantee the correctness, completeness, or suitability of AI outputs. Use at your own risk.
7. Intellectual Property
All Sagedesk branding, codebase, and documentation ("Platform Content") are Sagedesk's exclusive property.
You may not copy, modify, or distribute Platform Content without prior written consent.
8. Third‑Party Services
Your use of third‑party integrations (Supabase, LangSmith, etc.) is subject to their own terms.
Sagedesk is not responsible for outages or behavior of third‑party providers.
9. Disclaimers & Limitation of Liability
No Warranties:
Services are provided "as is" without warranties of any kind.
Liability Cap:
Sagedesk's total liability is limited to fees paid by you in the 12 months preceding the claim.
10. Termination
You may delete your account at any time via the dashboard.
Sagedesk may suspend or terminate accounts for violations of these ToS or illegal activity.
11. Governing Law & Dispute Resolution
These ToS are governed by the laws of the Republic of the Philippines. All disputes shall be brought exclusively in the courts of Manila.
